Cinema XXI Distributes IDR980 Billion in Dividends, AGMS Approves Several Strategic Agendas

Jakarta, April 6, 2026 – PT Nusantara Sejahtera Raya Tbk (Cinema XXI), ticker code CNMA, held its Annual General Meeting of Shareholders (AGMS) for the 2025 financial year on Monday (6/4) in Jakarta. The meeting approved the appropriation of net profit, the distribution of cash dividends to shareholders, and several strategic decisions to support sustainable growth.

Shareholders approved a 2025 cash dividend of IDR980 billion, or IDR12 per share. This comprises an interim dividend of IDR5 per share paid on November 28, 2025, and a remaining IDR7 per share to be paid on April 28, 2026. Of the total, IDR8.63 per share comes from the 2025 net profit, equivalent to 99.98% of the net profit attributable to the parent company’s owners, while IDR3.37 per share is drawn from retained earnings of previous years.

The Meeting also approved the transfer of treasury shares through a proportional distribution to shareholders. The distribution ratio has been established at 50:1, entitling holders of 50 (fifty) CNMA shares to receive 1 (one) treasury share. The distribution is scheduled to be executed on April 28, 2026.

Shareholders approved changes to the Company’s management following Mr. Mohammad Noor Rachman Soejoeti’s resignation as Independent Commissioner. The current composition of the Board of Directors and Board of Commissioners is as follows:

The AGMS approved the Company’s Annual Report and ratified the Consolidated Financial Statements for the year ended December 31, 2025. In 2025, Cinema XXI reported revenue of IDR5.9 trillion, a 2.6% increase from IDR5.7 trillion in the previous year. Net profit after tax was IDR776.2 billion, and EBITDA reached IDR1.8 trillion.

Driven by growth performance, Cinema XXI is expanding its operational reach. As of December 31, 2025, the company operates 267 cinemas with 1,388 screens in 55 cities and 30 regencies across Indonesia. This growth reflects the Company’s commitment to increasing public access to quality moviegoing experiences.

In addition to the agendas mentioned above, Cinema XXI's AGMS for the 2025 financial year also approved:
-    The Board of Commissioners, based on the Audit Committee’s recommendation, is authorized to appoint a Public Accountant and Public Accounting Firm to audit the 2026 financial year.
-    The Board of Commissioners is authorized to set salaries and allowances for both the Board of Directors and the Board of Commissioners, following the Nomination and Remuneration Committee’s recommendations.
-    A report on the use of funds from the Initial Public Offering (IPO) up to December 31, 2025, totaling IDR2.0 trillion. Of this amount, IDR1.2 trillion was allocated for cinema network development and expansion, IDR500 billion for bank loan principal repayment, and IDR320 billion for working capital.
-    The amendment to Article 3 of the Articles of Association concerning the Purpose and Objectives, as well as Business Activities, in accordance with Government Regulation (PP) No. 28/2025 and the 2025 Indonesia Standard Industrial Classification.
